Terms of sale

Version 2026-09-23. Business-to-business terms.

1. Parties and scope

These terms apply to all sales by terixon OÜ ("Terixon", "we") to business customers. By placing an order you confirm you act in the course of business — we do not sell to consumers.

2. Product information and illustrations

Specifications, descriptions, photographs and drawings are given to identify the goods and to describe them in general terms. They do not form part of the contract and have no contractual force. What you buy is the manufacturer part number on your order confirmation: where a description and the part number disagree, the part number decides. Ask us to confirm anything before you order and we will.

Photographs are supplied by the manufacturer or the distributor and remain their property. Where we hold no photograph of a part we show a drawing of its product category — never a photograph of a different unit. A photograph of refurbished or used goods shows a representative unit and not the individual item you will receive, unless the listing says otherwise. If you hold rights in an image on this site and want it removed, write to sales@terixon.com and we will take it down.

3. Prices and price confirmation

Prices shown on the website are indicative and are updated automatically. They exclude VAT unless stated. Every order is reviewed: we re-verify availability and price and confirm your final price by email before any payment is due. If the supplier price has changed, we tell you and you may accept or cancel free of charge. Confirmed prices are held until the date stated on the proforma invoice, subject to prior sale.

4. Ordering and payment

Orders are binding for Terixon only after our written confirmation. Payment by bank transfer against proforma invoice, or by card where offered. Goods are ordered after payment is received. Title passes on full payment.

5. Delivery

Lead times are estimates and run from the day your payment is confirmed on our account. Goods are delivered to the address on your order and may arrive in more than one consignment. Risk passes on delivery. Shipments above €300.00 are insured. Partial deliveries may be made where agreed. Where a delivery crosses a customs border, any duty and import VAT are confirmed with you before payment.

6. Condition and warranty

Condition (new, open box, refurbished, used) is stated per product. New goods carry the manufacturer's warranty where transferable in the EEA, otherwise 12 months. Refurbished and used goods carry a 12-month warranty. Dead-on-arrival claims within 14 days are replaced or refunded. Warranty covers repair or replacement; consequential loss is excluded to the extent permitted by law.

7. Returns

No change-of-mind returns on business orders. Incorrectly delivered or defective goods are handled under section 6.

8. Export control and sanctions

You confirm that the goods are not destined, directly or indirectly, for Russia, Belarus or any sanctioned party, and you will not re-export them in breach of EU Regulation 833/2014 (Article 12g). We may request an end-user statement and refuse orders where compliance cannot be established.

9. VAT

terixon OÜ is not registered for value added tax in Estonia; no VAT is charged and no VAT is shown on our invoices. Any VAT, import duties and taxes due in the country of delivery are payable by the customer.

10. Liability and law

Our total liability per order is limited to the order value. Estonian law applies; disputes go to Pärnu County Court, the court of our registered seat.
